Welcome to NitroDial. By accessing or using our AI cold calling platform and related services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.
1. Acceptance and Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. By creating an account or using the Services, you represent that you meet these requirements and accept these Terms and our Privacy Policy.
2. Description of Services
NitroDial provides an AI-powered cold calling platform that allows you to create voice agents, run outbound campaigns, manage leads, and use related features. We may add, change, or discontinue features with reasonable notice where practicable. Services are provided "as is" subject to these Terms.
3. Account and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us promptly of any unauthorized use. We may suspend or terminate your account if you breach these Terms or for other reasons we communicate to you.
4. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law, regulation, or third-party rights.
- Send unsolicited communications (e.g. spam, robocalls) where prohibited or without required consent.
- Harass, defame, threaten, or harm others, or promote illegal or harmful content.
- Attempt to gain unauthorized access to our systems, other accounts, or any network.
- Interfere with or disrupt the integrity or performance of the Services.
- Resell or sublicense the Services without our prior written consent, except as explicitly permitted.
You are responsible for obtaining any consents (e.g. TCPA, GDPR) required for your calls and for complying with telephony and marketing laws in your jurisdiction. We may suspend or terminate access for actual or suspected violations.
5. Credits and Payment
Use of the Services may require purchasing prepaid credits. Fees are as displayed at the time of purchase. All fees are non-refundable except as required by law or as we explicitly agree in writing. We may change pricing with advance notice. Taxes are your responsibility unless we are required to collect them.
6. Your Data and Intellectual Property
You retain ownership of the content and data you upload or create ("Your Data"). You grant us a limited license to use, process, and store Your Data to provide and improve the Services. We do not claim ownership of Your Data. Our platform, software, branding, and materials remain our property or our licensors'; you may not copy or use them except as necessary to use the Services in accordance with these Terms.
7. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NITRODIAL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify, defend, and hold harmless NitroDial and its affiliates and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, Your Data, or your breach of these Terms.
10. Changes to the Terms
We may modify these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may be communicated by email or in-product notice. Continued use of the Services after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services.
11. General
These Terms, together with our Privacy Policy and any order or agreement referencing them, constitute the entire agreement between you and NitroDial regarding the Services. No waiver of any term shall be deemed a further waiver of that or any other term. If any provision is held unenforceable, the remaining provisions remain in effect. These Terms are governed by the laws of the jurisdiction in which NitroDial operates, without regard to conflict of law principles.
